We are a New York-based firm with an international platform. Operating for over 125 years, we have built a reputation as a major player in the world of law. Currently, we are experiencing growth in our Palo Alto office, and are seeking to add a transactional IP associate to our team.
What you need for this position:
- Excellent academic credentials; top-tier law school and law review preferred
- 3+ years of experience
- Experience working at a national law firm
- Experience in IP-related transactions, ranging from acquisitions and divestitures, to joint ventures, to securities offerings
- Experience working with a corporate and tax practice, drafting and negotiating documents, conducting due diligence, and advising on portfolio analysis, risk analysis, litigation risk analysis, IP ownership and transfers, privacy and other issues
- CA Bar admission preferred, BUT NOT REQUIRED
What you will be doing:
- Work on all IP-related aspects of transactions, ranging from acquisitions and divestitures, to joint ventures, to securities offerings
- Work with corporate and tax teams on structuring issues, drafting and negotiating documents, conducting due diligence, and advising on portfolio analysis, risk analysis, litigation risk analysis, IP ownership and transfers, privacy and other issues
- There is a limited amount of work involving standalone IP license and other agreements
